These Terms of Use ("Terms") are a binding agreement between you and Harns Technologies Inc. ("Coggo," "we," "us") governing your access to and use of the Coggo voice-first veterinary AI scribe and SOAP platform at coggo.ai, app.coggo.ai, and the Coggo mobile applications (the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and accounts

  • The Service is intended for veterinary professionals and practices and for users 18 years or older. It is not directed to children.
  • You must provide accurate account information and keep it current. You are responsible for activity under your account and for safeguarding your credentials.
  • If you create an account on behalf of a clinic or organization, you represent that you are authorized to bind that organization to these Terms.

2. The Service — what Coggo does and does not do

Coggo helps you record consultations, transcribe audio, and generate clinical documentation (SOAP notes, recaps, surgery reports, referral letters, discharge instructions, differential diagnoses, and structured templates).

Coggo is a documentation tool, not a provider of veterinary medical advice. The Service uses artificial intelligence, which can produce inaccurate, incomplete, or misleading output ("AI errors"). You are the licensed professional. You are solely responsible for reviewing, correcting, verifying, and approving all generated content before relying on it, entering it into a medical record, or using it for any clinical decision, diagnosis, treatment, or communication. Coggo does not establish a veterinarian–patient relationship and does not practice veterinary medicine.

3. Your content and license

"Your Content" means the audio, transcripts, patient records, pet-owner details, generated documents, and other data you submit to or create with the Service.

  • You retain ownership of Your Content.
  • You grant Coggo a limited, worldwide, non-exclusive license to host, process, transmit, and display Your Content solely to provide, secure, and improve the Service for you, and as described in the Privacy Policy.
  • We do not use Your Content (including audio, transcripts, or generated notes) to train any AI/ML model, and our AI sub-processors do not train on it under our agreements.
  • You represent that you have all rights and lawful bases necessary to submit Your Content, including any consent required to record audio and to enter pet-owner personal data.

4. Acceptable use

You agree not to: - Use the Service unlawfully or to violate any third party's rights, including recording individuals without any legally required consent. - Upload malware, attempt to breach security, probe, or disrupt the Service or its infrastructure. - Reverse engineer, scrape, or build a competing product from the Service, except as permitted by law. - Resell, sublicense, or provide the Service to third parties except as expressly allowed. - Use the Service to provide advice to humans or for human medical purposes; the Service is for veterinary documentation only. - Misuse AI output in a way that endangers animal or human safety.

We may suspend or terminate access for violations.

5. Subscriptions, billing, and renewals

  • The Service offers a Free plan and paid Pro plans (monthly and annual), billed per veterinarian seat. Current pricing is shown in the Service and on coggo.ai/pricing.
  • Paid plans are billed in advance through our payment provider and renew automatically until cancelled. By subscribing you authorize recurring charges.
  • You can change plans, adjust seats, update payment method, or cancel from billing settings. Cancellation stops future renewals; access continues until the end of the paid period.
  • Seat changes are pro-rated. Except where required by law, fees are non-refundable. Failed payments may result in suspension or downgrade.
  • We may change pricing prospectively; we will give reasonable notice and changes apply to subsequent billing periods.

6. Free plan and beta features

Free-plan limits (e.g., monthly visit allowances) are described in the Service and may change. Features labeled beta, preview, or experimental are provided "as is," may change or be withdrawn, and may have additional terms.

7. Integrations and third-party services

The Service can connect to practice management systems and other third-party services at your direction. Your use of those services is governed by their terms, and you are responsible for the data you exchange through integrations. We are not responsible for third-party services.

8. Intellectual property

The Service, including its software, design, templates, and trademarks (including "Coggo" and "Mind's Best Friend"), is owned by Coggo and protected by law. We grant you a limited, revocable, non-transferable license to use the Service per these Terms. We retain all rights not expressly granted. Feedback you provide may be used by us without obligation to you.

9. Confidentiality and data protection

Where Coggo processes personal data on behalf of your practice, it does so as a processor under the Privacy Policy and any applicable Data Processing Addendum. Each party will protect the other's confidential information. You are responsible for your clinic's compliance with laws applicable to the data you record, including obtaining any consents and providing notices to pet owners.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT AI OUTPUT WILL BE ACCURATE, COMPLETE, OR RELIABLE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. YOU ASSUME ALL RESPONSIBILITY FOR CLINICAL JUDGMENT AND FOR VERIFYING ALL OUTPUT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COGGO AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR AI OUTPUT. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) US $100. Some jurisdictions do not allow these limitations, so they may not fully apply to you.

12. Indemnification

You agree to indemnify and hold harmless Coggo and its affiliates from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

13. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms, fail to pay, or to protect the Service or others. On termination, your license ends; sections that by nature should survive (e.g., ownership, disclaimers, liability, indemnity, governing law) survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict-of-laws rules. The state and federal courts located in Ohio will have exclusive jurisdiction over disputes, and you consent to their jurisdiction and venue, except where applicable law gives you the right to bring proceedings in your local courts.

15. Changes to these Terms

We may update these Terms from time to time. We will update the "Last updated" date and, for material changes, provide notice through the Service or by email. Continued use after changes take effect constitutes acceptance.
